Terms of Service.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the websites, platform, and applications (the "Service") provided by Atlas Realty Services P.C. (d/b/a Atlas Realty Group)("Atlas Realty," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. The Service & License

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. We may update, improve, or modify the Service over time.

4. Subscriptions, Plans & Billing

• Plans. The Service offers a free Starter plan, a paid Pro plan, and a custom Enterprise plan, as described on our pricing page.
• Billing. Paid plans are billed in advance on a recurring per-seat basis and automatically renew until cancelled. You authorize us (and our payment processor) to charge your payment method.
• Taxes. Fees are exclusive of taxes, which you are responsible for unless we are legally required to collect them.
• Changes. We may change pricing on prospective renewal terms with reasonable notice.
• Cancellation. You may cancel at any time; access continues through the end of the paid period. Except where required by law, fees are non-refundable.

5. Acceptable Use

You agree not to: (a) use the Service unlawfully or in violation of others' rights; (b) upload malicious code or attempt to disrupt or gain unauthorized access to the Service; (c) reverse engineer or copy the Service except as permitted by law; (d) resell or provide the Service to third parties except as expressly allowed; or (e) use the Service to send unlawful, infringing, or deceptive communications.

6. Customer Data & Ownership

As between you and us, you own the data you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Service and as permitted by our Privacy Policy. You are responsible for the legality of Customer Data and for having the rights and consents necessary to provide it. We may use aggregated, de-identified data that does not identify you or any individual.

7. Real Estate, MLS & Third-Party Data

Atlas Realty Services P.C. is a verified Affiliate of the Real Estate Standards Organization (RESO). The Service may help you work with listing and real-estate data. You are solely responsible for complying with the rules of any MLS, association, regulator, or data source you use, and for ensuring you have the rights to import, store, and display such data through the Service.

8. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by Atlas Realty and protected by intellectual-property laws. Except for the rights expressly granted here, we reserve all rights. Feedback you provide may be used by us without restriction.

9. Third-Party Services

The Service may integrate with third-party products. Your use of those products is governed by their terms, and we are not responsible for them.

10. AI Features & No Professional Advice

The Service includes AI-assisted features (such as lead scoring, document review, and compliance suggestions). These features provide assistance only and may be incomplete or inaccurate. They are not legal, financial, tax, or professional advice. You are responsible for reviewing outputs and for all decisions you make using the Service.

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, Atlas Realty will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Atlas Realty from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

14. Term & Termination

These Terms apply while you use the Service. We may suspend or terminate access if you breach these Terms or to protect the Service. Upon termination, your right to use the Service ends; provisions that by their nature should survive will survive.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Tarrant County, Texas, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.

17. Miscellaneous

These Terms, together with our Privacy Policy and any order or plan you select, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
